NOTICE TO MEMBERS OF
TRAILS FOR ILLINOIS

There always comes a time when an organization must reevaluate its purpose, mission, goals, objections and accomplishments. Trails for Illinois is not immune from this process.

Over the last four years members of the Trails for Illinois (T4I) Board have undertaken this evaluation process, looked at re-branding our purpose and investigated ways to either restructure our organization or merge our mission with a similar organization that also promotes non-motorized trails in Illinois. Please be assured...the T4I Board has spent many hours debating the many facets of re-organization and the process that would need to happen to move forward with a better/more intense service purpose/mission.

All those hours spent led us to the unfortunate honest conclusion that quite frankly we tried to avoid...the dissolution of T4I as we know the organization is appropriate now. There are many factors that have brought the current Board Members to this unanimous conclusion, and we are hopeful another organization will pick up our purpose/mission and continue the promotion of non-motorized trails in Illinois. Our Board Members currently serving will continue their promotion of non-motorized trails in their local and regional areas in a less formal manner—still carrying the promotional torch for the collaboration of more non-motorized trails in Illinois.

With this narrative we are saddened to say, we are at the cusp of dissolving T4I. 

Therefore based upon the Trails for Illinois Bylaws:

ARTICLE XI

DISSOLUTION

Section 1. The Corporation may be dissolved at any regular or special meeting of the Board of Directors provided that: written notice of the dissolution and the cause is sent to the membership at least sixty (60) days in advance of the meeting; opportunity for discussion is provided, and a quorum of the Board of Directors concurs in the dissolution.

Section 2. Upon dissolution of the Corporation, the officers shall, after paying or making provisions for the payment of all liabilities of the Corporation, transfer the assets of the Corporation back to the agencies, businesses, individuals and organizations responsible for having donated $100.00 or more on a proportional basis to their contribution, or with their approval transfer assets to any other organization similar in purpose and meeting the requirements for tax exemption under Section 501(c)(3) of the Internal Revenue Code.

By this message posted on our webpage on February 11, 2019, members of T4I are hereby notified:  1) the T4I Board of Directors has decided to dissolve T4I as authorized by the approved Bylaws,  2) a special meeting of the Board of Directors and the membership will be held on April 14, 2019, and at such meeting the opportunity for discussion of the dissolution will be provided, and action to formally authorize and direct the dissolution will be taken, and 3) with the membership’s approval (approval will be defined as individual members being silent on the matter of transferring  assets of T4I) T4I will transfer all of its assets to another organization similar in purpose and meeting the requirements for tax exemption under Section 501(c)(3) of the Internal Revenue Code.
